This document aims at explaining the changes of the board of directors with the aid of the sociological field theory. The said changes depend on the modifications operated on the various forms of capital
distribution between the directors which modify the power distribution between these actors. Thus, we can assure a balanced power distribution between the manager and the directors in order to guarantee the board of director’s efficiency, by modifying the distribution of the various forms of capital between these actors. / Ce travail vise la compréhension de la dynamique du conseil d’administration (CA) à partir de la théorie du champ de Bourdieu. Il ressort de nos analyses que la dynamique du CA peut résulter des changements de la distribution des différentes formes de capital entre les
administrateurs, à condition qu’ils modifient la répartition du pouvoir entre ces acteurs. Ainsi, on peut assurer une répartition équilibrée des pouvoirs entre les participants au CA de manière à
garantir son efficacité, en agissant sur la distribution des différentes formes de capital entre les administrateurs.
